Source text - English AIRCRAFT LEASE AGREEMENT
1. LEASING:
(a) Subject to the terms and conditions set forth below, Lessor agrees to lease to Lessee, and Lessee agrees to lease from Lessor, the aircraft, including the airframe, engines and all appurtenant equipment (together hereinafter the "AIRCRAFT") described in Annex A.
(b) Lessor shall purchase the Aircraft from the manufacturer or supplier thereof ("SUPPLIER") and lease it to Lessee if on or before the Last Delivery Date (specified in Annex B) Lessor receives each of the following documents in form and substance satisfactory to Lessor: (i) a copy of this Lease executed by Lessee, (ii) unless Lessor shall have delivered its purchase order for the Aircraft or received a bill of sale for the Aircraft in the name of Lessor (and in form and substance satisfactory to Lessor), the Purchase Document(s) Assignment and Consent in the form of Annex C, with copies of the purchase order or other purchase documents attached thereto; (iii) copies of insurance policies or, at Lessor's option, such other evidence of insurance which complies with the requirements of Section 10, (iv) evidence of an N number for the Aircraft together with an assignment of the rights thereto to Lessor; (v) evidence that
the Aircraft has been duly certified as to type and airworthiness by the Federal Aviation Administration ("FAA"); (vi) evidence that Lessor's designated FAA escrow agent (which may be FAA counsel) has received in escrow the executed bill of sale and AC Form 8050-1 Aircraft Registration Form (except for the pink copy which shall be available to be placed on the Aircraft upon acceptance thereof), and an executed duplicate of this Lease all in proper form for filing with the FAA; (vii) resolution of Lessee authorizing this Lease in the form of Annex D;
(viii) a completed inspection and/or survey with respect to the Aircraft in accordance with the requirements set forth in the Certificate of Acceptance; and (ix) such other documents as Lessor may reasonably request. Lessor's obligation to lease the Aircraft hereunder is further conditioned upon (1) the cost to Lessor of the acquisition of the Aircraft not exceeding the Capitalized Lessor's Cost stated on Annex A; (2) upon delivery of the Aircraft, Lessee's execution and delivery to Lessor of a Certificate of Acceptance in the form of Annex E; and (3) filing of all necessary documents with, and the acceptance thereof by, the FAA.

1. ARRENDAMENTO MERCANTIL:
(a) Em subordinação aos termos e condições abaixo previstos, a Arrendadora concorda em arrendar para a Arrendatária, e a Arrendatária concorda em arrendar da Arrendadora, a aeronave, incluindo a estrutura, os motores e todos os equipamentos acessórios (doravante denominados em conjunto a “AERONAVE”) descritos no Anexo A.
(b) A Arrendadora comprará a Aeronave do fabricante ou fornecedor da mesma (“FORNECEDOR”) e arrenda-la-á à Arrendatária se na Data Final de Entrega (especificada no Anexo B), ou antes desta, a Arrendadora receber cada um dos seguintes documentos em forma e conteúdo satisfatórios para a mesma: (i) uma via deste Contrato de Arrendamento assinado pela Arrendatária, (ii) salvo se a Arrendadora tiver entregue sua ordem de compra da Aeronave ou recebido um instrumento de venda da Aeronave em seu nome (e em forma e conteúdo para ela satisfatórios), a Cessão e Consentimento de Documento(s) de Compra na forma do Anexo C, com cópias da ordem de compra ou outros documentos de compra anexados à mesma; (iii) cópias de apólices de seguro ou, a critério da Arrendadora, outros comprovantes de seguro que cumpram as exigências da Cláusula 10, (iv) comprovante de número de registro da Aeronave juntamente com a cessão dos direitos do mesmo para a Arrendadora; (v) comprovante de que a Aeronave foi devidamente certificada quanto ao tipo e à aeronavegabilidade pela Administração Federal de Aviação dos Estados Unidos (FAA); (vi) comprovante de que o agente fiduciário da FAA designado pela Arrendadora (que poderá ser um advogado da FAA) recebeu em caução o instrumento de venda assinado e o Formulário AC 8050-1 Formulário de Registro de Aeronave (exceto a via rosa que estará disponível para colocação na Aeronave após aceitação da mesma), e uma via assinada deste Contrato de Arrendamento, tudo em formulário próprio para arquivamento junto à FAA; (vii) resolução da Arrendatária autorizando este Contrato de Arrendamento na forma do Anexo D; (viii) uma inspeção e/ou vistoria completa da Aeronave de acordo com os requisitos previstos no Certificado de Aceitação; e (ix) outros documentos que a Arrendadora possa razoavelmente solicitar. A obrigação da Arrendadora de arrendar a Aeronave nos termos deste instrumento está ainda condicionada (1) ao custo para a Arrendadora da aquisição da Aeronave, não excedendo o Custo Capitalizado da Arrendadora indicado no Anexo A; (2) na entrega da Aeronave, à assinatura e entrega de um Certificado de Aceitação por parte da Arrendatária à Arrendadora na forma do Anexo E; e (3) ao arquivamento de todos os documentos necessários, e sua aceitação, junto à FAA.

Source text - English 2. Intellectual Property Rights
2.1 The following terms shall have the indicated meanings when used in this Attachment:
a. “Invention” shall mean any discovery, concept, or idea, whether or not patentable, made by the University and/or the Principal Investigator during the Research Program and arising directly from the performance of the Research Program, including but not limited to processes, methods, software, tangible research products, formulas and techniques, improvements thereto, and know-how related thereto.
b. “Patent Expenses” shall mean any expenses, including attorney’s fees, incurred in searching prior art, obtaining search opinions, preparing applications, filing, prosecuting, enforcing or maintaining a patent or patent application with respect to Patent Rights in any country in which the patent or patent application is filed.
c. “Patent Rights” shall mean any patent application or patent covering any Invention made by the University and/or the Principal Investigator during the course of the Research Program and arising directly from the performance of the Research Program, including any continuation, continuations-in-part, divisional applications, substitutions, extensions or additions thereto, and any corresponding foreign patent applications or patents based on such applications or patents.
d. “Technology Rights” shall mean University rights under state and federal laws, including the laws of copyright, trade secret, and unfair competition, in unpatented inventions, know-how, software, and other technology developed by the University and/or the Principal Investigator during the Research Program and arising directly from the performance of the Research Program.
2.2 Any Patent Rights and Technology Rights based upon Inventions made solely by University personnel shall be the property of University. Any Patent Rights and Technology Rights based upon Inventions made jointly shall be the joint property of University and Sponsor. Rights arise during the Research Program if they are either conceived or reduced to practice during the Research Program.
2.3 After consultation with Sponsor, University at its sole election may prepare and file appropriate United States and foreign patent applications for Inventions. University will provide Sponsor, on a confidential basis, a copy of any such application filed and any documents received or filed during prosecution thereof and will provide Sponsor the opportunity to comment thereon. On any application on which an employee of Sponsor is named as a co-inventor, Sponsor will cooperate in obtaining execution of any necessary documents by its employees.

2.1 - Os termos a seguir terão os seguintes significados neste Anexo:
a. Uma "Invenção" significa qualquer descoberta, conceito ou ideia, patenteável ou não, feita pela Universidade e / ou o Pesquisador Principal durante o Programa de Pesquisa, que surjam diretamente do seu desempenho, incluindo, mas não se limitando a processos, métodos, software, resultado concreto de pesquisa, fórmulas e técnicas, aperfeiçoamentos, e também melhorias relacionadas ao know-how.
b. "Despesas de Patentes" significa quaisquer despesas, incluindo custos com advogados, pesquisas anteriores, consultoria, elaboração de requerimentos, registros, procuração, elaboração ou manutenção de uma patente, solicitação de direitos em qualquer país em que a patente ou pedido de patente é apresentado.
c. "Direitos de Patente" significa qualquer pedido de patente, cobrindo qualquer Invenção feita pela Universidade e / ou o Pesquisador Principal durante o curso do Programa de Pesquisa e decorrente de maneira direta do desempenho do Programa de Pesquisa, incluindo qualquer continuação, continuations-in-part, solicitação de divisão, alterações, extensões ou acréscimos aos mesmos, e quaisquer pedidos de patentes estrangeiras relacionada ou baseadas nas mesmas.
d. "Direitos de Tecnologia" significa os direitos da Universidade, regidos sob as leis estaduais e federais, incluindo as leis de direitos autorais, segredos comerciais e concorrência desleal, em invenções não patenteadas, know-how, software e outra tecnologia desenvolvida pela Universidade e / ou pelo Pesquisador Principal durante o Programa de Pesquisa e decorrentes diretamente da realização do Programa de Pesquisa.
2.2 - Quaisquer Direitos de Patentes e Direitos de Tecnologia baseados em Invenções feitas exclusivamente por funcionários da Universidade serão propriedade da Universidade. Quaisquer Direitos de Patente e Direitos de Tecnologia baseados em Invenções feitas em conjunto devem ser propriedade conjunta da Universidade e do Patrocinador. Os direitos emergem durante o Programa de Pesquisa se forem concebidos ou reduzidos à prática durante o Programa de Pesquisa.
2.3 - Após consulta com o Patrocinador, a Universidade, por decisão individual, pode preparar e registrar os pedidos de patentes dos Estados Unidos e de outros países para invenções. A Universidade fornecerá ao Patrocinador, de forma confidencial, uma cópia de qualquer solicitação arquivada e de quaisquer documentos recebidos ou arquivados durante o processo e fornecerá ao Patrocinador a oportunidade de se pronunciar sobre o assunto. Em qualquer inscrição em que um funcionário do Patrocinador seja nomeado co-inventor, o Patrocinador cooperará na obtenção de todos os documentos necessários por seus funcionários.
