THIS MUTUAL NON-DISCLOSURE AGREEMENT (the “Agreement”) is made as of the ___ day of _________, ____, (the “Effective Date”) by and between (“ ”), a Corporation, and _______________.
WHEREAS the parties, for their mutual benefit, may already have exchanged and wish further to exchange certain information of a confidential nature and wish to protect such information in the manner set out in this Agreement;
NOW, THEREFORE, in consideration of the premises and the mutual covenants and agreements herein contained, and intending to be legally bound hereby, the parties hereto covenant and agree as follows:
1. Term. This Agreement shall commence on the date this Agreement is executed by all parties, and continue for three years after the date of last disclosure by either party.
2. Confidential Information.
a. “Disclosing Party” shall mean the party who discloses the Confidential Information, either
or Company.
b. “Receiving Party” shall mean the party who receives the Confidential Information, either or Company.
c. “Confidential Information” shall mean the proprietary technical or business information of Disclosing Party and/or its subsidiaries, affiliates, and clients. Confidential Information shall include, but not be limited to, pricing, customer lists, standard forms, executed agreements of sale, computer products, computer software and trade secrets owned by Disclosing Party and/or its subsidiaries, affiliates, and clients. Confidential Information shall not include any information that:
i. can be demonstrated by written records to have been in the possession of Receiving Party prior to its engagement by Disclosing Party without obligations of confidentiality or nonuse;
ii. is lawfully and rightfully obtained by Receiving Party without obligation of confidentiality or nonuse, from a person or entity that is not obligated to Disclosing Party and/or its subsidiaries, affiliates, and clients to keep such information confidential;
iii. at the time of disclosure or lawful access by Receiving Party or thereafter, becomes generally known to the public through acts not attributable to Receiving Party; or
iv. is independently developed by Receiving Party without using or relying on any Confidential Information. The burden of proving that any information or data is not Confidential Information shall be borne by Receiving Party.
d. Receiving Party, for itself and on behalf of its officers, employees, contractors and agents, agrees:
(i) to hold Confidential Information in strict confidence, exercising the same degree of care as a reasonably prudent person would take in protecting its own trade secrets;
(ii) not to disclose the Confidential Information without Disclosing Party’s prior written consent to any entity or person;
(iii) not to allow any persons or entities access to Confidential Information; and
(iv) not to make any use of Confidential Information not authorized in advance.
e. Receiving Party shall maintain an agreement with its officers, employees, contractors, and agents, requiring its officers, employees, contractors and agents to abide by the confidentiality obligations of this Clause 2 and shall warrant their compliance herewith. Disclosing Party shall be deemed to be a third party beneficiary of each such agreement and shall therefore have rights against both Party and the officer, employee, contractor or agent of Receiving Party in the event of a breach of this Clause 2.
f. Receiving Party understands and agrees that in the event of a breach of this Clause 2, damages will not be an adequate remedy and Disclosing Party shall be entitled, inter alia, to injunctive relief to restrain any such breach, threatened or actual, and any and all legal costs and fees incurred by Disclosing Party in the enforcement of this Agreement.
3. Choice of Law. This Agreement and the terms, conditions, and covenants hereof and the rights, privileges and obligations of the parties hereto, shall be construed and interpreted in accordance with the laws of the State of without giving effect to principles regarding conflicts of laws applicable in that or any other jurisdiction.
4. Entire Agreement. This Agreement contains all of the agreements, conditions and understandings made between the parties hereto with respect to the subject matter hereof and may not be modified orally or in any manner other than by an agreement in writing signed by the parties.

ESTE ACORDO MÚTUO DE NÃO DIVULGAÇÃO (" Contrato") é celebrado no dia ____ do mês de __________ do ano de ______ ("Data Efetiva") entre . (""), Corporação sediada no Estado de , localizado no , e _________________.
CONSIDERANDO que as partes, para seu benefício mútuo, já podem ter trocado e desejam continuar a trocar certas informações de natureza confidencial e desejam proteger tais informações na forma estabelecida neste Contrato;
POR ESSAS RAZÕES, em consideração às premissas e os convênios mútuos e acordos aqui contidos, e com a intenção de estar legalmente respaldadas por este meio, as partes aqui acordam o seguinte:
1. Prazo. Este Contrato terá início na data em que for assinado por todas as partes, e continuará por três anos após a data da última divulgação, por qualquer das partes.
2. Informações Confidenciais.
a. "Parte Divulgadora" significa a parte que divulga Informações Confidenciais, seja da ou da Empresa.
b. “Parte Receptora” significa a parte que recebe as Informações Confidenciais, seja da ou da Empresa.
c. “Informações Confidenciais” significam as informações técnicas ou comerciais exclusivas da Parte Divulgadora e/ou de suas subsidiárias, afiliadas e clientes. Informações Confidenciais devem incluir, mas não se limitar a, preços, listas de clientes, formulários padrão, acordos de venda assinados, produtos de informática, software de computador e segredos comerciais de propriedade da Parte Divulgadora e/ou de suas subsidiárias, afiliadas e clientes. Informações Confidenciais não devem incluir informações que:
i. podem ser demonstradas por registros por escrito estar em posse da Parte Receptora antes do seu envolvimento pela Parte Divulgadora, sem obrigações de confidencialidade ou não uso;
ii. é legalmente e legitimamente obtido pela Parte Recebedora sem obrigação de confidencialidade ou não uso, de uma pessoa ou entidade que não seja obrigada a Parte Divulgadora e/ou suas subsidiárias, afiliadas e clientes a manter tais informações confidenciais;
iii. no momento da divulgação ou acesso legal pela Parte Receptora, ou posteriormente, tornar-se de conhecimento geral do público por meio de atos não imputáveis à Parte Receptora; ou
iv. é desenvolvido independentemente pela Parte Receptora sem usar ou se basear em qualquer Informação Confidencial. O ônus de provar de que qualquer informação ou dados não são Informações Confidenciais será suportado pela Parte Receptora.
d. Parte Recebedora, por si e em nome de seus dirigentes, funcionários, contratados e agentes, concorda:
i. manter Informações Confidenciais em sigilo, exercendo o mesmo grau de cuidado que uma pessoa razoavelmente prudente teria em proteger seus próprios segredos comerciais;
ii. não divulgar as Informações Confidenciais sem o consentimento prévio por escrito da Parte Divulgadora a qualquer entidade ou pessoa;
iii. não permitir que quaisquer pessoas ou entidades tenham acesso às Informações Confidenciais; e
iv. não fazer uso de Informações Confidenciais não autorizadas antecipadamente.
e. A Parte Receptora deverá manter um acordo com seus dirigentes, funcionários, contratados e agentes, exigindo que eles cumpram as obrigações de confidencialidade da Cláusula 2 deste Contrato, e garantam o cumprimento das mesmas. A Parte Divulgadora será considerada um terceiro beneficiário de cada acordo e, portanto, terá direitos contra ambas as Partes e com os dirigentes, funcionários, contratados e agentes da Parte Receptora no caso de uma violação desta Cláusula 2.
f. A Parte Receptora compreende e concorda que, no caso de uma violação desta Cláusula 2, os danos não serão um recurso adequado e a Parte Divulgadora terá direito, entre outras coisas, a medidas cautelares para restringir tal violação, ameaçada ou efetiva, e qualquer e todos os custos legais e taxas incorridas pela Parte Divulgadora na aplicação deste Contrato.
3. Foro Este Contrato e os termos, condições e cláusulas dele, e os direitos, privilégios e obrigações das partes, devem ser interpretados, de acordo com as leis do Estado de , localizado no , sem dar efeito aos princípios relativos a conflitos de leis aplicáveis naquele Estado ou qualquer outra jurisdição.
4. Acordo Integral. Este Acordo contém todos os acordos, condições e entendimentos feitos entre as partes a respeito do assunto em questão e não pode ser modificado verbalmente ou de qualquer outra forma que não seja por um acordo por escrito assinado pelas partes.

• The Low-income Housing Agencies (les Organismes d'Habitations à Loyer Modéré or HML) regulation imposes financial constraints (restriction of distributable profit, restriction of the rights to the liquidation balance...) limiting the power to govern the financial policy of a subsidiary and to reap the economic benefits thereof;
• The indebtedness of HLM companies is, in almost all, guaranteed, operation per operation, by the public authorities involved. Consequently, the Régie Autonome des Transports Parisiens or the RATP Group does not support the risks of reimbursement of Logis-Transports (RATP's real estate subsidiary) loans;
• The RATP Group exerts an influence on certain aspects of the management of Logis-Transports, without this influence being able to qualify for control. The RATP Group does not possess the assets of Logis-Transports such as a reference shareholder could do so. The assets of Logis-Transports are land and residential buildings subsidised. These assets have great restrictions on their assignment (impossible outside the HLM world).
These assets are a source of revenue (rents) regulated by the legislator both in the fixation and in the evolution thereof. The use of these assets is not free, due to the reserve quotas of residences imposed by municipalities and local authorities.
The allocation of residences for RATP agents is the subject of an examination in the commission of attribution to the same title and in accordance with the same modalities as for external candidates. The securities are counted in the balance sheet for their acquisition cost and are classified into financial assets available for sale. The main financial elements of XXXX are shown in point 19.

A atribuição das residências para os agentes da RATP é objeto de um exame em comissão de atribuição ao mesmo título e de acordo com as mesmas modalidades do que para os candidatos externos. Os títulos são contabilizados no balanço pelo custo de aquisição deles e classificados em ativos financeiros disponíveis para venda.
