Source text - English 독점 공급 계약서 (EXCLUSIVE SUPPLY AGREEMENT)
This Exclusive Supply Agreement (the “Agreement”) is made this ___ day of October, 2013 by and between A a corporation organized and existing under the laws of the State of Delaware, with its principle place of _____________________________) (“BUYER”) and B a corporation organized and existing under the laws of the Nation of the Republic of Korea with its principle place of business ______________________________ (“SELLER”).
WHEREAS, SELLER is, among other things, in the business of manufacturing, producing and selling certain fabric products to the window covering industry and possesses experience and know-how with respect to the manufacture and production of such products.
WHEREAS, BUYER is in the business of manufacturing, fabricating and selling a variety of window covering products, as well as materials and components therefor.
WHEREAS, and subject to the terms and conditions of this Agreement, BUYER wishes to secure for itself and certain of its affiliates the supply of certain of SELLER’s proprietary fabrics on an exclusive basis for the term of this Agreement, and SELLER wishes to supply specified fabrics on an exclusive basis for the term of this Agreement to BUYER and certain of its affiliates. (The term “BUYER”, as used hereinafter, shall refer to BUYER as well as any of its affiliates which may from time to time purchase Products from SELLER.)
NOW, THEREFORE, SELLER and BUYER agree as follows:
1. Supply. SELLER shall supply, on an exclusive basis, to BUYER, pursuant to purchase orders placed by BUYER with SELLER from time to time, the requirements of BUYER for specified proprietary fabric products of SELLER, namely the fabrics currently known as (a) “Novum” and (b) “Trico” (collectively, the “Products”). The Products shall meet the specifications set forth in Schedule A annexed hereto. BUYER shall not be required or obligated to purchase any specific or minimum amounts of the Products from SELLER hereunder. The parties may from time to time, by mutual agreement, modify this Agreement to replace, change, or add any of the Products. For sake of greater clarity, SELLER’s exclusive supply obligations hereunder shall apply to the current composition of the Products as defined in Schedule A, and all fabric equivalents thereof regardless of the trade name or other designation utilized by SELLER with regard to such Products during the term hereof.
2. Forecasts. BUYER shall provide to SELLER forecasts of its estimated requirements of each of the Products. Such forecasts shall be furnished by BUYER before the last day of each calendar quarter, covering, in each instance, the next succeeding calendar quarter. All forecasts provided by BUYER shall be based on BUYER’s good-faith reasonable estimates of its needs, but shall be non-binding and subject to purchase orders issued by BUYER from time to time in its sole discretion.
3. Delivery Terms; Packaging. Each purchase order for Products placed by BUYER shall be shipped FOB South Korea Port.),by SELLER. SELLER shall use its best efforts to ship each purchase order within thirty (30) days of SELLER’s receipt of such purchase order; provided, however, that SELLER shall in any event make shipments within Forty Five (45) days of its receipt of a purchase orders, further provided that in the event SELLER is prevented from meeting such 45-day limit due to any cause or circumstance beyond its control, and so long as SELLER is taking all reasonable steps to address such situation and make shipment as quickly as practicable, then SELLER’s failure to ship within 45 days shall not constitute a breach of this Agreement. In any case, SELLER shall not be obligated under this agreement to ship any amount in excess of 20% over the most recently supplied forecast from the BUYER for estimated requirements in the then current quarter. SELLER shall ship all Products packaged and labeled in accordance with BUYER’s reasonable instructions and procedures issued to SELLER from time to time.
4. Term; Territory; Expansion of Exclusivity; Termination.
(a) The initial term of this Agreement shall be for a period of two (2) years from the date first above written (the “Initial Term”). The Initial Term shall be automatically extended for successive twelve (12) month renewal terms (each a “Renewal Term”) unless BUYER provides SELLER with written notice of termination no less than forty-five (45) days prior to the end of the Initial Term or any Renewal Term, as applicable.
(b) Notwithstanding anything to the contrary contained herein, the parties understand and agree that SELLER’s exclusivity obligations for the Products to BUYER apply solely to BUYER’s requirements for the Products within the countries of United States of America and Canada (the “Territory”). Except as specifically provided in Section 3(c), below, BUYER agrees and warrants that it (i) shall utilize commercially reasonable efforts to ensure that the Products purchased hereunder are used solely in connection with window covering products and/or components and materials therefor, manufactured, fabricated and sold by BUYER within the Territory; and (ii) shall use commercially reasonable efforts to ensure that BUYER does not re-sell the Products to any party outside the Territory.
(c) The BUYER will use commercially reasonable efforts to develop finished window treatment products from the SELLER’s “Products” within the first quarter of the Term for sale in the Territory. BUYER will develop, invest in and execute marketing and sales programs designed to develop widespread market awareness for the products within the Territory. BUYER will provide product sample vehicles and collateral marketing materials necessary to sell Products in key distribution channels in the Territory.
(d) The parties further agree and understand that BUYER further desires to obtain exclusive supply of the Products from SELLER on the terms and conditions of this Agreement in the regions of Mexico, Central America and South America and that SELLER has agreed, in good faith, to consider same. In this regard, the parties understand and agree that, immediately upon the execution of this Agreement, BUYER shall be permitted at all times during the Term, on an exclusive basis, to re-sell Products purchased hereunder to the following customers of BUYER, namely: (i) Solstice - Grupo American Classic (located in Mexico) and (ii) Elubel - Uni Flex (located in Brazil). Purchases by these Comfortex customers will be a key but not the only, factor considered by SELLER in connection with the prospective expansion of BUYER’s exclusivity set forth in this Section
(e) Either party may terminate this Agreement by giving written notice to the other party if the other party commits a breach of this Agreement which has not been remedied within 30 days of the receipt by the other of a notice specifying the breach and requiring its remedy.
5. SELLER Election to Terminate Exclusivity
SELLER may, in its sole discretion, notify BUYER that SELLER intends to end the exclusivity in the Territory afforded to BUYER hereunder by providing BUYER with ninety (90) days written notice of same prior to the end of: (i) the Initial Term or (ii) any Renewal Term. If SELLER provides such notice, SELLER shall be permitted to sell the Products to other parties in the Territory; provided, however, that SELLER’s right to make such third party sales shall commence on the date that is twelve (12) months after the end of, as applicable, the Initial Term or Renewal Term. Notwithstanding, however, any termination of BUYER’s exclusivity by SELLER, the parties understand and agree that this Agreement shall not otherwise be terminated and that SELLER shall continue to supply all of BUJYER’s requirements for the Products for so long as the BUYER continues to offer one or both of the Products for sale in the Territory. In this regard, it is further understood that SELLER shall provide BUYER with “most favored nation” pricing at all times and that all other applicable terms and conditions of this Agreement shall remain in full force and effect. (“Most favored nation” pricing means pricing that is no higher than the lowest price that SELLER sells to any other party(s) in the Territory following termination of exclusivity, irrespective of volume.)
6. Pricing. The prices for the Products are set forth on Schedule B annexed hereto. Such prices shall remain fixed for the entirety of the Initial Term. Thereafter, prices shall be adjusted upward or downward on the basis of the following: (a) prices for any Product shall be adjusted no more often than one time in any calendar year; (b) the annual price adjustments shall be no greater than the lesser of (i) the percent change in the currency exchange rate between the USD and the South Korean won or (ii) 50% of the percent increase in the global price of polyester yarns as listed in ICIS website (Formerly known as the Independent Chemical Information Services); and (c) SELLER shall give BUYER no less than ninety (90) days prior written notice of any price increase, and, no less than forty-five (45) days prior to the effective date of any proposed price increase, reasonable written information and data setting forth the basis for the price increase.
7. Warranty. SELLER warrants that the Products will be free from defects in material and workmanship, will meet the specifications set forth on Schedule A annexed to this Agreement, and will otherwise be suitable for their intended purpose.
8. Payment Terms. BUYER shall make payment of undisputed invoices for all Products shipped by SELLER thirty percent (30%) of SELLER’S invoice amount within ten (10) days of ocean bill of lading on board date and the remaining seventy percent (70%) within thirty (30) days of delivery of the goods. All payments shall be made in US Dollars ($USD).
9. Title. Title to all Products ordered under this Agreement passes to BUYER upon expressed or surrendered Bill of Lading.
10. Governing Law; Jurisdiction. This Agreement shall be governed by and construed in all respects in accordance with the internal laws of the State of New York, USA. The international rules for the interpretation of trade terms prepared by the International Chamber of Commerce (Incoterms) shall apply but where they conflict with this Agreement, this Agreement shall prevail.
The parties submit to the exclusive jurisdiction of the Federal and State courts located in Albany, Rensslaer and Saratoga Counties, New York, USA and agree that, in respect of all proceedings, that process may be served on either of them in the manner specified for “Notices”: in Section 11 hereof.
11. Notices. All notices to be given hereunder shall be in writing, sent by recognized overnight courier, to the following addresses:

12. Confidentiality. Each party undertakes to the other to keep confidential all information (written or oral) concerning the business and affairs of the other which it has obtained or received as a result of discussions leading up to entry into this Agreement, or which it obtains during the course of this Agreement, except any information that is:
(i) subject to an obligation to disclose under law, or that is required to be disclosed by any competent regulatory authority, by notice or otherwise; or
(ii) already in a party’s possession, other than as a result of a breach of this Section 12; or
(iii) in the public domain other than as a result of a breach of this Section 12.
Each party undertakes to the other to take all steps that are necessary from time to time to ensure compliance with the provisions of this Section 12 by its employees, agents and subcontractors.
13. Dispute Resolution. Any disputes, claims or controversies regarding this Agreement or the interpretation of its’ terms shall be resolved by binding arbitration before a single arbitrator, to be conducted in accordance with the rules of the American Arbitration Association for Commercial Matters. Such arbitration shall be held in a location to be mutually-determined by the parties and failing the parties’ agreement thereon in New York, New York. The decision of the arbitrator shall be final and binding and enforceable in any court of competent jurisdiction. In this regard, the prevailing party in such arbitration shall have its costs of arbitration (including reasonable attorneys’ fees) reimbursed by the non-prevailing party.
14. Miscellaneous.
a. Each right or remedy of the parties under this Agreement is without prejudice to any other right or remedy of the parties, whether or not such rights or remedies are set out in this Agreement.
b. Nothing in this Agreement shall create, or be deemed to create, a partnership, joint venture or legal relationship of any kind between the parties that would impose liability upon one party for the acts or failure to act of the other party, or authorize either party to act as agent for the other. Neither party shall have the authority to make representations, act in the name or on behalf of or otherwise bind the other party.
c. No variation or amendment of this Agreement shall be effective unless it is made in writing, refers specifically to this Agreement and is signed by both of the parties.
d. No waiver of any term, provision or condition of this Agreement shall be effective, except where it is clearly made in writing and signed by the waiving party. No waiver of any particular breach of this Agreement shall be held to be a waiver of any other or subsequent breach. No omission or delay on the part of either party in exercising any right, power or privilege under this Agreement shall operate as a waiver by it or of any right to exercise it in future or of any other of its rights under this Agreement.
e. The rights and remedies arising under, or in connection with, this Agreement are cumulative and, except where otherwise expressly provided in this agreement, do not exclude rights and remedies provided by law or otherwise.
f. This Agreement is binding upon the parties and their respective successors and assigns and incorporates all of the agreements of the parties with respect to the subject matter hereof. None of the parties hereto may assign this Agreement without the prior written consent of the other party, except that BUYER may assign this Agreement to any affiliate without such consent being obtained.
g. Each party to this Agreement represents and warrants that the execution, delivery and performance of this Agreement by such party has been duly authorized by all necessary corporate or other action.
h. If either party brings an action to enforce its rights under this Agreement, the party substantially prevailing shall be entitled to recover its reasonable attorneys’ fees and costs.

본 독점 공급 계약은 (이후 "본 계약"), 2013년 10월 ____일에, A (델라웨어 주 법인, 본사 주소: ____________________________) (이후 “구매사”) 및 B (대한민국 법인, 본사 주소: ____________________________) (이후 "판매사") 사이에 체결된 계약이다.
판매사는, 특히, 윈도우 커버링 산업에서 특정한 섬유 제품들을 제조, 생산하고 판매하는 사업에 종사하고 있으며, 해당 제품의 제조 및 생산에 관한 경험과 노하우를 보유하고 있다.
구매사는 다양한 윈도우 커버링 제품들을 비롯해서, 그 관련 자재들과 구성품들을 제조, 가공하고 판매하는 사업에 종사하고 있다.
본 계약의 내용과 조건들에 준해서, 구매사는, 자사 및 자사의 계열사들을 위해서, 본 계약의 내용에 근거한 독점 기준으로 판매사의 전속 섬유들을 구입하기 원하고, 판매사는, 구매사와 구매사의 계열사들에게 본 계약의 내용에 근거한 독점 기준으로 특정한 섬유들을 공급하기 원한다 (본 계약서에서 사용되는 "구매사" 라는 용어는, 구매사 자체는 물론, 판매사로부터 계약 제품을 이따금 구입할 수 있는 구매사의 계열사들을 총칭하고 있다).
이에, 판매사와 구매사는 다음과 같이 합의한다. (다음)
1. 공급 (Supply). 판매사는, 특정한 판매사의 전속 섬유 제품들, 즉, 현재 (a) “Novum” 및 (b) “Trico”라고 알려여 있는 섬유들 (총칭해서 "계약 제품들")을, 추후 구매사가 판매사에게 발주할 구매 주문서와, 구매사의 요구 사항들에 따라서 공급해 주어야 한다. 계약 제품은 본 계약서에 첨부된 스케줄 (Schedule) A에 명시된 사양에 부합되어야 한다. 구매사는, 본 계약에 따라서, 판매사로부터 특정한 제품 최소 구매량을 구입할 의무도 없고, 그러한 요구를 받을 수도 없다. 계약 당사자들은, 계약 제품의 종류를 교체, 변경하거나 추가하기 위해서, 향후에 이따금 상호 합의를 통해서 본 계약을 수정할 수 있다. 더 명확하게 부연하자면, 본 계약에 따른 판매사의 독점 공급 의무는 스케줄 A에 정의된 제품들의 현재 구성은 물론, 본 계약 기간 동안에 해당 계약 제품들에 관해서 판매사가 어떤 상표나 다른 명칭을 붙이는지와 상관 없이, 그에 상응하는 모든 섬유에 대해서 적용되어야 한다.
2. 예측 (Forecasts). 구매사는, 각 제품들에 관한 자사의 예상 요구량에 대한 예측을 판매사에게 제공해 주어야 한다. 이러한 예측은, 다음에 다가올 분기를 포함해서 각 분기 말일 이전에 구매사가 제공해 주어야 한다. 구매사가 제공하는 모든 예측은, 구매사가 자사의 필요에 관해서 합리적인 예상을 하는 기초가 될 것이나, 구매사가 향후에 자사의 재량권에 따라서 발주하는 구매 주문에 대해서 구속력을 가질 수는 없다.
3. 인도 기간, 포장 (Delivery Terms; Packaging). 구매사가 발주하는 각각의 구매 주문은, 판매사가 FOB 한국 항구 조건으로 선적해야 한다. 판매사는, 해당 구매 주문서를 자사가 수령한 날로부터 30일 이내에, 각 구문 주문을 선적할 수 있도록 최선의 노력을 경주해야 한다. 단, 이 경우, 판매사는 어떠한 경우라도, 판매사가 구매 주문서를 받은 날로부터 45일 이내에는 선적이 완료되어야 하지만, 판매사가 통제할 수 없는 원인이나 상황으로 인해서 이 45일 한도를 맞출 수 없고, 가능한 빨리 선적을 완료하고 그러한 상황을 타개하기 위해서 모든 합리적인 조치들을 다 취한다면, 판매사가 45일 이내에 선적을 하지 못한 것을 본 계약 위반으로 보지 않는다. 어떠한 경우라도, 판매사는, 본 계약에 따라서 해당 분기의 예상 요구량에 대해서 구매사로부터 가장 최근에 받은 예측보다 20%를 상회하는 물량을 납품해야 할 의무는 없다. 판매사는, 구매사의 합리적인 지시 사항 및 향후에 판매사가 확립한 절차에 따라서, 모든 제품을 포장하고 라벨을 달아서 선적해야 한다.
4. 계약 기간, 계약 지역, 독점 확장, 계약 해지 (Term; Territory; Expansion of Exclusivity; Termination).
(a) 본 계약의 최초 기간은, 본 문서 상단에 명시된 날짜로부터 2년 동안이 될 것이다 ("최초 계약기간"). 이 최초 계약 기간은, 구매사가 최초 계약 기간 또는 경우에 따라서 갱신 기간 만료일보다 늦어도 45일 전에 해지 통보서를 판매사에게 보내는 경우가 아닌 한, 자동적으로 12개월 동안 갱신된다 (각각 "갱신 기간").
(b) 본 계약서에 어떠한 반대 조항이 포함되어 있다 할지라도, 계약 당사자들은, 계약 제품에 관해서 판매사에게 지켜야 할 판매사의 독점 의무는, 미국 및 캐나다 내에서 ("계약 지역") 계약 제품에 대해서 구매사가 요구한 량에 대해서만 적용된다는 것을 이해하고 이에 동의한다. 아래 3(c)항에 특별히 규정된 것을 제외하고는, 구매사는, (i) 본 계약에 따라서 구매된 계약 제품이 계약 지역 내에서 구매사에 의해서 제조, 가공되고 판매되는 윈도우 커버링 제품 및 그 구성품 및 소재와 관련해서만 사용될 수 있도록 할 수 있는 합리적인 모든 노력을 기울이고, (ii) 구매사가 계약 지역 밖에 있는 다른 당사자에게 계약 제품들을 재-판매하지 않도록 할 수 있는 합리적인 모든 노력을 기울일 것에 동의하고, 이를 보증한다.
(c) 구매사는, 계약 기간 중 첫 번째 분기 이내에, 판매사의 "계약 제품"을 가지고, 계약 지역에서 판매할 수 있는 완제품 윈도우 트리트먼트 제품을 개발하도록 합리적인 모든 노력을 기울여야 한다. 구매사는, 계약 지역 내에서 이 제품들에 대한 광범위한 시장 인지도를 높이기 위해서 구상되는 마케팅 및 판매 프로그램을 개발하고, 투자하고 실행할 것이다. 구매사는, 계약 지역 내 핵심 유통망에 계약 제품 판매에 필요한 제품 견본 자료들과 부수적인 마케팅 자료들을 제공할 것이다.
(d) 또한, 계약 당사자들은, 구매사가 멕시코, 중앙 아메리카 및 남 아메리카와 판매사가 선의도 같이 생각하고 동의한 다른 지역들에서 본 계약의 내용 및 조건에 따라서, 판매사로부터 계약 제품에 관한 확장된 공급을 받기를 원하고 있다는 것을 이해하고 동의한다. 이에 관해서, 계약 당사자들은, 본 계약을 체결한 후 즉시, 구매사는 본 계약 기간 동안에는 언제든지, 다음과 같은 구매사의 고객들, 즉 (i) Solstice - Grupo American Classic (Mexico 소재) 및 (ii) Elubel - Uni Flex (Brazil 소재)에게, 본 계약에 따라 구입한 계약 제품들을 독점 기준으로 재-판매할 수 있다는 것을 이해하고 이에 동의한다. 이러한 Comfortex 고객사들이 구매하는 것은, 하나의 실마리가 될 것이나, 본 조항에 명시된 구매사의 독점 확대 예상과 관련해서 판매사가 고려하는 유일한 요소는 아니다.
(e) 계약 당사자들 중 누구라도, 상대방이 본 계약을 위반하고, 시정 통보서를 받은 후 30일 이내에 시정 조치를 취하지 않는 경우, 상대방에게 서면 통보를 함으로써, 본 계약을 해지할 수 있다.
5. 독점권을 해지하기로 판매사가 결정하는 경우 (SELLER Election to Terminate Exclusivity)
판매사는, 자사의 독자 재량권에 따라서, (i) 최초 계약 기간, 또는 (ii) 갱신 기간이 끝나기 90일 이전에, 구매사에게 해지 통보를 함으로써, 구매사에게 주어졌던 계약 지역 내의 독점 계약을 끝낼 의사가 있음을 구매사에게 통보할 수 있다. 판매사가 이러한 통보를 하게 되면, 판매사는 계약 지역 내에서 다른 당사자들에게 계약 제품을 판매하는 것이 허용될 것이다. 하지만, 판매사가 다른 제 3자로 하여금 판매를 하도록 할 권리는, 최초 계약 기간, 또는 경우에 따라서 갱신 기간이 끝난 후 12개월이 되는 날로부터 효력이 개시될 것이다. 하지만, 판매사가 구매사의 독점권을 해지한다 할지라도, 계약 당사자들이 이해하고 동의하는 바, 본 계약은 달리 해지되지 않으며, 구매사가 계약 지역 내에서 계약 제품 중 하나 또는 둘 모두를 판매하기 위해서 오퍼를 계속 내는 한, 판매사는 구매사가 계약 제품에 대해서 요구하는 모든 양을 계속 제공해 주어야 한다. 이에 관해서, 추가적으로 양해되어야 하는 점은, 판매사는 언제든지, 구매사에게 "최혜국" 가격을 제공해 주어야 할 것이며, 본 계약의 기타 모든 관련 내용 및 조건들도 완전한 효력으로 유지되어야 한다는 것이다 ("최혜국" 가격이란, 주문량과 상관 없이, 독점권이 해지된 이후에 계약 지역 내에서, 기타 다른 당사자들에게 판매사가 판매하는 최저 가격보다 높지 않은 가격을 말한다).
6. 가격 책정 (Pricing). 계약 제품들의 가격은, 본 계약서에 첨부된 스케줄 B에 명시되어 있다. 이 가격들은 기본적으로 최초 계약 기간 전반에 걸쳐서 고정되어야 한다. 따라서, 가격을 올리거나 내리기로 조정할 때는 다음과 같은 근거에 따라서 해야 한다. (다음) (a) 어떤 제품의 가격이라도 1년에 한 번 이상 조종될 수 없다. (b) 연중 가격 조정은 (i) 미국 달러 및 한화 간 환율의 퍼센트 변화, 또는 (ii) ICIS 웹사이트에 등재된 폴리에스터 원사의 국제 가격의 50 퍼센트 인상분 중 더 작은 쪽보다 더 높을 수 없다. (c) 판매사는, 가격 인상 통보를 보내기 적어도 90일 이전에, 그리고, 제안된 가격 인상이 효력을 가지는 날로부터 적어도 45일 이전에, 해당 가격 인상의 근거를 명시한 합리적인 정보 및 데이터 문서가 적힌 문서를 구매사에게 보내 주어야 한다.
7. 보증 (Warranty). 판매사는, 계약 제품들이 소재 및 만듦새에 있어서 하자가 없을 것이며, 본 계약서에 첨부된 스케줄 A에 명시된 사양에 부합할 것이며, 원래 의도한 목적에 적합할 것이라는 것을 보증한다.
8. 대금 지불 조선 (Payment Terms). 구매사는, 판매사가 납품한 모든 제품들에 대한 문제 없는 인보이스 (대금 청구서)에 대한 대금을, 선적일에 선하증권이 발행된 이후 10일 이내에 인보이스 가격의 30%, 그리고 화물이 인도된 날로부터 30일 이내에 나머지 70% 지불해야 한다. 모든 대금은 미국 달러로 지불되어야 한다.
9. 소유권 (Title). 본 계약에 따라 발주된 모든 계약 제품들에 대한 소유권은, 선하 증권이 발행되면 구매사에게로 넘어간다.
10. 준거법, 관할권 (Governing Law; Jurisdiction). 본 계약은, 미국 뉴욕주의 내국법에 따라서 모든 부분이 관할되고 해석되어야 한다. 국제 상공회의소 (Incoterms)가 마련한 교역 조건에 관한 국제 규칙도 적용되지만, 본 계약과 상충되는 경우, 본 계약을 우선으로 한다.
계약 당사자들은, Albany, Rensslaer 및 Saratoga Counties, New York, USA 소재의 연방 법원 및 주 법원들을 전속 관할 법원으로 하고, 모든 절차를 진행하는데 관해서, 진행 과정은, 본 계약서 제 11조에 명시된 방법으로 계약 당사자들에게 전달될 수 있다는데 동의한다.

12. 비밀 보장 (Confidentiality). 각 당사자들은, 모든 사업 관련 정보 (서면 또는 구두 전달) 및 본 계약을 체결하기 위해서 진행한 논의의 결과로 획득하거나 받은 다른 사안들, 또는 본 계약을 하는 과정 중에 획득한 내용들을 비밀로 보장할 것을 상대방에게 약속한다. 단,
(i) 법률에 따라서 공개 의무의 대상이 되는 정보, 또는 관한 규제 당국이 통보나 기타 수단으로 공개할 것을 요구하는 정보, 또는
(ii) 본 제 12조를 위반하지 않았음에도 불구하고 어떤 당사자가 이미 보유하고 있었던 정보, 또는
(iii) 본 제 12조를 위반하지 않았음에도 불구하고, 일반적으로 이미 알려져 있는 정보는 예외로 한다.

14. 기타 (Miscellaneous).
a. 본 계약에 따른 계약 당사자들의 각각의 권리 또는 구제 조치는, 그 권리나 구제 조치들이 본 계약서에 명시되어 있는지 여부와 상관 없이, 해당 당사자의 다른 권리나 구제 조치들을 집행할 수 있는 권리를 침해하지 않는다.

Source text - English Definitions and Appointment
1.1 Words beginning with capital letters shall, unless the context otherwise requires, bear the meanings given in the Appendix below.
1.2 The Company hereby appoints the Distributor to distribute Products in the Territory. The Company will not except during the period of any notice by either party to terminate this Agreement as provided below make any similar appointment of any other distributor of Products in the Territory or supply Products direct to customers in the Territory.
Duration
2. This distributorship shall unless earlier terminated as provided below continue for the Term and then expire.
Supply arrangements
3.1 The Products shall be sold and purchased ex the Company's works in the United Kingdom or on such other delivery terms as the parties agree in writing.
3.2 Each sale and purchase under this Agreement shall be constituted by an order from the Distributor and a subsequent order acknowledgement given by the Company in its discretion and shall be governed by the Company's standard conditions of sale from time to time in force provided that in each case of any inconsistency between such conditions and the provisions of this Agreement the latter shall prevail.
3.3 Orders shall be given in sufficient time to allow for manufacturing lead times.
Prices and Payments
4.1 The Distributor shall pay for all Products sold and purchased hereunder at the Agreed Prices.
4.2 Unless otherwise agreed in writing, all payments shall be in pounds sterling, without any set-off or other deduction whatsoever by the Agreed Payment Method. All banking or collection charges shall be borne by the Distributor.
Distributor's obligations
5.1 The Distributor shall:
5.1:1 use its best efforts to promote the sale of the Products in the Territory and, without prejudice to the generality of the foregoing, to purchase Products from the Company at the rate of at least the Target;
5.1:2 purchase all of its requirements for the Products exclusively from the Company;
5.1:3 distribute the Products solely through the Agreed Outlets and maintain such stocks of Products as will ensure that customers have prompt access to such ranges and quantities of Products as they require;
5.1:4 supply to the Company quarterly a written report giving details of the Distributor's sale of Products and stocks, at cost, and all inquiries, orders, sales forecasts, visit reports, complaints by Customers and information with regard to goods competing or likely to compete with the Products in the Territory, and furnish such other information as the Company from time to time reasonably requires;
5.1:5 maintain suitable premises, employ reasonable numbers of competent, properly trained staff, perform customer visits and take such other steps as are appropriate to maximise the sale of Products in the Territory;
5.1:6 obtain the Company's prior written approval of any proposed advertising or promotional material;
5.1:7 keep the Company informed with regard to matters affecting the Distributor's business including but not limited to details of other organisations represented by the Distributor or persons connected with it (which at the date of this Agreement are referred to in the Appendix ("Distributor's Existing Representation")) and provide the Company with copies of the Distributor's price lists and trading terms from time to time in force;
5.1:8 indemnify the Company and maintain with reputable insurers insurance against any and all claims, demands, proceedings, damages, liabilities (whether in respect of property damage, personal injury death or otherwise), costs, (including lawyers' fees) and expenses whatsoever and howsoever arising whether during or after the term of this Agreement from the distribution of Products under this Agreement (unless arising solely from any defect of materials or workmanship in any Product supplied by the Company or any gross negligence or wilful misconduct on the part of the Company) and, on the Company's request, furnish evidence as to the existence and sufficiency of such insurance; and
5.1:9 undertake the registration of this Agreement with any national or legal authorities, if required, and on the termination of this Agreement, howsoever occasioned, procure the cancellation of any such registration.
5.2 The Distributor shall not without first obtaining the Company's written consent:
5.2:1 sell or export the Products outside the Territory or supply them to any person whom the Distributor ought reasonably to suspect intends their sale or export, directly or indirectly, outside the Territory;
5.2:2 be engaged or interested directly or indirectly in the Territory in manufacturing, selling, distributing, soliciting orders for or dealing in goods which are similar to or in the Company's reasonable opinion might compete with Products or assist any other person to be so engaged or interested;
5.2:3 at any time whether during or after the term of this Agreement make use otherwise than for the purposes of this Agreement or disclose to any third party any confidential information acquired from the Company in relation to the Products or the Company's affairs or business, including its price lists, or copy any of the Company's designs or Products or assist any other person to do so;
5.2:4 assign or transfer in any way the benefit of this Agreement which is personal to the Distributor or sub-contract the performance of any of its obligations; or
5.2:5 incur any expenditure or commitment on behalf of the Company or act otherwise than at its expense and risk as the Company's distributor of Products within the Territory.
The Company's obligations
6. The Company shall:
6.1 afford the Distributor such assistance as the parties reasonably consider to be desirable effectively to promote the sale of Products in the Territory including the provision of such reasonable quantities of leaflets and other material as the Company has available for supply to the Distributor and training in the United Kingdom of reasonable numbers of the Distributor's personnel
6.2 give the Distributor no less notice than it gives its other representatives of any new Products, changes in or the discontinuance of any existing products or any change in the Company's prices or conditions of sale
Intellectual property rights
7. The Distributor shall not by virtue of this Agreement or otherwise acquire any rights in any of the Company's patents, trade marks, service marks, copyrights, design rights, inventions, trade secrets, trade names, trading styles or other intellectual property rights whatsoever which are and shall remain the Company's exclusive property. In particular the Distributor shall immediately report to the Company any wrongful or improper use thereof of which it becomes aware and take all reasonable steps requested by the Company to protect its interests
Force majeure
8. If the performance of this Agreement or of any obligation hereunder (other than the payment of sums of money) is prevented, by reason of any circumstances beyond the reasonable control of the party concerned the party so affected, upon giving prompt written notice to the other party, shall be excused from such performance to the extent of such prevention, but shall use its best efforts to avoid or remove such causes of non-performance and shall continue performance hereunder with the utmost despatch whenever such causes are removed
Termination
9.1 Either party shall have the right without prejudice to any other of its rights by giving at any time written notice to the other party to forthwith terminate this Agreement if the other party
9.1:1 is unable to pay its debts in the ordinary course of its business, enters into any composition or arrangement (whether formal or informal) with its creditors, has a receiver, manager, administrator or administrative receiver appointed for all or any of its undertaking, assets or income, has a resolution passed for its winding up, has a petition presented to any court for its winding up or for an administration order (or, in the case of a party consisting of one or more individuals, any of them has a bankruptcy petition presented against it) or suffers under the laws of any jurisdiction any action similar to any of the foregoing or ceases or threatens to cease to carry on business
9.1:2 is materially in breach of any of its obligations under this Agreement and such a breach (if remediable) is not remedied within thirty (30) days from the date on which a written notice drawing the breach to its attention is given or is persistently in breach of any such obligation
9.2 The Company shall also have the right by giving the Distributor written notice at any time to forthwith terminate this Agreement if:
9.2:1 the Target for any 12 month period commencing 1st April 2014 or any anniversary of that date is not agreed by the parties in writing before the commencement of the period in question or the Distributor fails persistently or materially to purchase Products at a rate consistent with the Target for any year being achieved,; or
9.2:2 the Distributor fails or is unable for any reason (including but not limited to force majeure circumstances) to perform its obligations under this Agreement to the Company's satisfaction for a period of three (3) months or periods aggregating three (3) months in any period of six (6) months;
9.2:3 the Distributor suffers any material change in its shareholders or managers or those of any holding company of which the Distributor is a subsidiary company or in the respective shareholdings of such shareholders or (if the Distributor is a partnership) any change in the identity of the partners or (if a natural person) dies or if the Distributor however constituted ceases in the Company's opinion to be able effectively to undertake the distribution of the Products in the Territory.
9.3 The Distributor shall not be entitled to any compensation on the termination of their Agreement by the Company under clauses 9.1 or 9.2.
9.4 Upon the expiry or termination by either party from whatsoever cause of this Agreement all catalogues, leaflets and any samples or other material supplied by the Company which have not been paid for in full by the Distributor shall be returned to the Company or transferred to another person in the Territory or otherwise disposed of in accordance with the Company's directions.
9.5 The expiry or termination for any reason of this Agreement shall not affect:
9.5:1 any rights which accrue or have accrued to either party; or
9.5:2 such of the provision of this Agreement as are expressly or by implication to operate thereafter;
9.6 No failure or delay by either party in exercising any of its rights for any default of the other party shall prejudice its rights in connection with such or any subsequent default.
Entire Agreement
10. This Agreement represents the entire understanding between the parties in respect of the matters contained or referred to therein and, except as expressly herein provided, there are no representations, warranties, conditions, liabilities or understandings of whatever kind whether express or implied relating thereto and no amendment shall be effective unless in writing and signed by or on behalf of the parties hereto.
Law and Arbitration
11.1 This Agreement shall be governed by English law.
11.2 All disputes arising in connection with the present Agreement shall be finally settled under the Rules of Conciliation and Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the Rules
Notices
12. Any notice to be given hereunder shall be in writing and if sent by pre-paid registered post to the receiving party at its address contained in this Agreement or elsewhere as hereafter notified in writing to the other party hereto be deemed to have been given seven (7) working days following the date of posting.

5.1:3 오로지 합의된 아웃렛을 통해서만 계약 제품을 유통하고, 고객들이 필요한 대로 계약 제품의 구색과 수량을 즉시 확보할 수 있도록, 해당 계약 제품의 재고를 유지해야 할 것이며,

본사의 의무 사항 (The Company's obligations)
6. 본사는,
6.1 계약 당사자들이 합리적으로 효과가 있을 것으로 기대되는 경우에, 본사가 판매 대리점에게 공급할 수 있는 합당한 수량의 리플렛과 기타 자료들을 제공해 주는 것을 포함해서, 계약 지역 내에서 계약 제품을 판매하는 것을 촉진할 수 있는 지원 및 판매 대리점의 합당한 숫자의 인원들에게, 영국에서의 교육 훈련을 제공해야 할 것이며,
6.2 다른 대리점들과 다름없이, 해로운 제품들에 대한 정보, 기존 제품들의 변경이나 단종, 또는 본사의 가격 변동, 또는 판매 조건의 변경에 관한 통보를 제공해 주어야 한다.
지적 재산권 (Intellectual property rights)

불가항력 (Force majeure)
8. 만약, 어떤 당사자의 합리적인 통제권을 넘어서는 상황으로 인해서, (대금 지불을 제외한) 본 계약의 이행 또는 본 계약에 따른 의무 사항 이행이 방해를 받는 경우, 그 영향권에 속하는 당사자는, 상대방에서 신속하게 서면 통보를 함으로써, 그 방해를 받는 범위에 속하는 이행에 대해서 양해를 받을 수 있으나, 그 불이행 원인을 피하거나 제거하기 위해서 최선의 노력을 경주하고, 그 원인이 제거될 때는 언제든지 극도로 신속하게 본 계약에 따른 이행을 지속해야 한다.
해지 (Termination)
9.1 만약 상대방이 다음과 같은 경우에 해당된다면, 계약 당사자들 중 누구라도, 그 상대방에게 언제든지 서면 통보를 함으로써, 자신의 다른 권리를 그대로 유지한 채, 즉시 본 계약을 해지할 권리를 가진다. (다음)
9.1:1 자사 비즈니스의 일상 과정에서 자사의 부채를 갚을 수 없게 되거나, 자사의 채권자들과 (공식, 비공식을 막론하고) 모종의 협의나 조정에 돌입하게 되거나, 자사의 사업, 자산 또는 수입의 전부 또는 일부를 관리하도록, 수탁인, 관리인, 관재인 등이 지명되거나, 자사의 해산을 위한 결의안이 통과되거나, 자사의 해산이나 행정 명령을 받기 위해서 법원에 청원이 신청되거나 (또는, 어떤 당사자가 1인 또는 다수의 개인으로 구성되는 경우, 그들 중 일부가 자사에 대해서 파산 신청을 하거나), 전술한 것과 유사한 조치가 관할 법률에 따라서 주어지거나, 사업 수행이 중단되거나, 중단될 위기에 처한 경우.
9.1:2 본 계약에 따른 자사의 의무 사항을 심각하게 위반하고, 그 시정을 요구하는 시정 요청서를 받은 후 30일 이내에 (시정이 가능함에도 불구하고) 시정하지 않거나, 그러한 의무 위반을 계속하는 경우.
9.2 또한, 본사는, 다음과 같은 경우, 판매 대리점에게 서면 통보를 함으로써, 즉시 본 계약을 해지할 권한을 가진다. (다음)
9.2:1 2014년 4월 1일부터 시작해서 12개월 동안, 또는 그 날짜로부터 1주년 동안의 목표가 문제가 되는 기간이 시작되기 전에 계약 당사자들 간에 서면으로 합의되지 않은 경우, 또는 판매 대리점이 어떤 연도 동안 달성해야 할 목표를 구성하는 비율로 계약 제품을 지속적으로, 심각하게 구입하지 못하는 경우.
9.2:2 어떤 3개월 기간 동안, 또는 어떤 6개월 중에 도합 3개월 기간 동안에, 판매 대리점이 (불가항력의 상황 등을 포함한) 어떤 이유로 인해서, 본사가 만족할 수 있는 수준으로 본 계약에 따른 자사의 의무 사항을 이행하지 않거나, 이행이 불가능한 경우.
9.2:3 판매 대리점이, 자사의 주주나 경영진들, 또는 판매 대리점이 자회사인 지주 회사의 주주나 경영진들에 대해서 어떤 중대한 변경이 생기거나, 그 주주들의 지분에 관한 변경이 있는 경우, 또는 (판매 대리점이 합자회사의 일원인 경우) 그 합자 대상의 신상에 변경이 있거나, (합자의 대상이 자연인인 경우) 그 대상자가 사망하거나, 또는, 본사가 보기에 판매 대리점이 계약 지역 내에서 계약 제품의 유통 업무를 효율적으로 수행할 수 있는 상태가 아니라고 판단되는 경우.
9.3 판매 대리점은, 상기 9.1항이나 9.2항에 따라서 본사가 본 계약을 해지하는데 대해서 어떠한 보상도 받을 권한이 없다.
9.4 이유 여하를 불문하고 계약 당사자들 중 일방에 의해서 본 계약이 만료 또는 해지되면, 판매 대리점이 그 대금을 완불하지 않은 본사가 공급한 모든 카탈로그, 리플렛 및 모든 샘플들과 기타 자료들은 본사로 반환하거나, 본사의 지시에 따라서 계약 지역 내의 다른 사람에게 넘겨 주거나, 달리 처분해야 한다.
9.5 이유 여하를 불문하고 본 계약이 만료되거나 해지되더라도, 다음에는 영향을 미칠 수 없다. (다음)
9.5:1 계약 당사자들 중 일방에게 생기거나 이전에 발생된 모든 권리.
9.5:2 명확하게 또는 묵시적으로 계약 이후에도 효력이 존속되도록 되어 있는 본 계약의 규정들.
9.6 계약 당사자들 중 일방의 불이행에 대해서, 그 상대방이 자신의 권리를 행사하지 않거나, 행사를 늦추고 있다 하더라도, 그에 관한 권리나, 그 이후의 불이행에 관해서 행사할 수 있는 권리를 침해 받을 수는 없다.
완전한 계약 (Entire Agreement)
10. 본 계약은 언급된 주요 사안들에 관한 계약 당사자들 간의 완전한 이해를 나타내고 있으므로, 본 계약서에 명확하게 규정된 것을 제외하고는, 그에 관한 어떠한 종류의 명시적이거나 묵시적인 어떠한 확약, 보증, 조건, 책임이나 양해 사항도 있을 수 없으며, 계약 당사자들이 직접 또는 계약 책임자들이 대신해서 서명한 수정 합의서가 없는 한, 어떠한 계약 수정도 효력이 없다.
준거법 및 중재 (Law and Arbitration)
11.1 본 계약은 영국 법률 (English law)에 의해서 관할된다.
11.2 본 계약에 관련해서 발생되는 모든 분쟁들은, 국제 상공회의소 중재 규칙에 따라서, 해당 규칙에 따라 지명되는 1인 또는 다수의 중재 심판관들에 의해서, 최종적으로 해결되어야 한다.
통지 (Notices)
12. 본 계약에 따라 주고 받은 모든 통지는, 서면으로 작성되어야 할 것이며, 본 계약서에 포함된 주소, 또는 이후에 상대방에서 재 통보하는 수정된 주소로 수신측에게 등기 우편 (요금 선불)으로 보내는 경우, 발송일로부터 7일 (영업일 기준)되는 날에 수령된 것으로 간주된다.
상기의 모든 내용을 증명하기 위해서, 계약 당사자들은, 상기에 명시된 날짜에 서명함으로써, 본 계약을 체결하였다.
