Devotion of Skills and Time. Consultant shall use Consultant’s best efforts, skills and abilities to perform the Consulting Services. It is expressly understood and agreed by the Company and Consultant that, as an independent contractor, neither Consultant nor any of Consultant’s employees or agents will utilize the Company’s offices, equipment or supplies in the performance of this Agreement. The Company and Consultant further understand and agree that Consultant is free to set Consultant’s schedule and work hours. While Consultant may perform services for Consultant’s other clients as Consultant sees fit, Consultant shall not engage in any activities during the term of this Agreement which conflict or unreasonably interfere with Consultant’s performance of the Consulting Services as required hereunder. In connection with the performance of the Consulting Services, Consultant shall not engage in any conduct which jeopardizes the general welfare or interests of the Company or the Company’s business or business relationships.
