This is part of a Study Services Agreement between an Angolan Oil Company (Company A) and an Offshore Company (Company B)

Whereas Company B has expertise in the offshore oil and gas exploration and production industry and the marine industry in general.

Whereas Company A desires to use Company B's services for consulting engineering, construction supervision, etc.

2. Payment Terms
2.1 Payment

Notwithstanding the foregoing, COMPANY A shall timely pay all undisputed amounts as set forth herein and a credit note will be subsequently issued for any charges the Parties mutually agree were invoiced in error or in breach with this Agreement. If and to the extent agreed in writing in the Work Order, invoices shall be documented with the Deliverables associated to the payment milestones. Milestones for payment (if any) and any related Deliverables (if any) will be defined in the Work Order.
