Source text - English i) The Principal may add territories or territories other than UAE and Pakistan by issuing side letter to the Agent, wherever and whenever required, for locating business opportunities and assisting the Principal in all respect in doing business in those territories under the same conditions of this Agreement.
ii) During the term of this Agreement, Principal shall not appoint another person/ party as its agent for Business in the territories provided that if Principal finds that for a particular contract, Agent is also directly or indirectly concerned either for itself or for another party or competitor(s) of the Principal, then the Agent shall not be the Agent of the Principal for such contract and Principal will be free to select/appoint a new Agent for the particular contract. In the case of violation of the provisions of this Clause by the Principal, Agent shall be entitled to the full commission as per item No. (i) of Article (4) of this Agreement even if it had no part in the transaction.
iii) Principal at its own expenses shall supply Agent with all information and documents necessary for the exercise of Agent's activity under this Agreement, including conditions of sale, price lists, technical document, advertising material and sample in sufficient quantities wherever applicable.
iv) Principal shall be responsible for the payment of fees, charges, dues, taxes or duties whatsoever payable to any Government, institution or organization arising out of or connected with its business in the territories.
Translation - Arabic المـادة 5 – واجبات الأصيـل
1- يجوز للأصيل أن يضيف أقاليم إضافية أو أقاليم غير الإمارات العربية المتحدة وباكستان، وذلك عن طريق إصدار كتاب جانبي إلى الوكيـل كلما وحيثما يكون مطلوباً لأجل إيجاد فرص الأعمال ومساعدة الأصيل من كافة النواحي في القيام بالأعمال في تلك الأقاليم بموجب نفس بنود وشروط هذه الاتفاقية.
2- لا يقوم الأصيـل خلال مدة هذه الاتفاقية بتعيين شخص / طرف آخر كوكيل له للأعمال في الأقاليم بشرط ما إذا كان الأصيـل يرى أنه بالنسبة إلى عقد مخصوص حيث يكون الوكيـل هو الآخر مهتمّا به بصورة مباشرة أو غير مباشرة إما لنفسه أو لصالح طرف آخر أو منافس (منافسي) الأصيـل، ففي هذه الحالة لا يكون الوكيـل وكيلاً للأصيـل لذلك العقد ويكون الأصيـل حرًّا لاختيار/تعيين وكيـل جديد لذلك العقد المخصوص. في حال ما إذا خالف الأصيل أحكام هذه المادة، فإن الوكيـل سيكون مستحِقّا للعمولة الكاملة حسب البند رقم (1) من المادة (4) من هذه الاتفاقية حتّى ولو لم يكن له دور في هذا التعامل.
3- سيقوم الأصيـل على نفقته الخاصة بتزويد الوكيـل بكافة المعلومات والمستندات اللازمة لممارسة نشاط الوكيـل بموجب هذه الاتفاقية، بما فيها شروط البيع وقائمة الأسعار، والمستندات الفنية، والمواد الإعلانية والعينات بالكمية الكافية حيثما هي مطلوبة.
4- سيكون الأصيـل هو المسؤول عن سداد كافة الرسوم أو الأجور أو المستحقات أو الضرائب أو الرسوم الجمركية مهما كانت واجبة الدفع إلى أية حكومة أو مؤسسة أو هيئة ناشئة من الأعمال أو فيما يتعلق بها داخل الآقاليم
