There is no cure for diabetes, which is associated with an increased risk for a number of serious, sometimes life-threatening complications. Certain populations experience an even greater threat. Good diabetes management can help reduce risk. However many people are not even aware that they have diabetes until they develop one of its complications.
Heart disease and stroke
• Heart disease and stroke account for about 65% of deaths in people with diabetes.
• Adults with diabetes have heart disease death rates about 2 to 4 times higher than adults without diabetes.
• The risk for stroke is 2 to 4 times higher and the risk of death from stroke is 2.8 times higher among people with diabetes.
•
In women with diabetes, deaths from heart disease have increased 23 percent over the past 30 years compared to a 27 percent decrease in women without diabetes. Deaths from heart disease in men with diabetes have decreased by only 13 percent compared to a 36 percent decrease in men without diabetes.
High blood pressure
About 73% of adults with diabetes have blood pressure greater than or equal to 130/80 millimeters of mercury (mm Hg) or use prescription medications for hypertension.
Blindness
• Diabetic retinopathy causes 12,000 to 24,000 new cases of blindness each year making diabetes the leading cause of new cases of blindness in adults 20-74 years of age.
• In people with type 1 diabetes, therapy that keeps blood glucose levels as close to normal as possible reduces damage to the eyes by 76% (New England Journal of Medicine, September 30, 1993).
• Experts believe that these results can also be applied to those with type 2 diabetes.
• Mexican Americans are almost twice as likely and non-Hispanic blacks are almost 50% as likely to develop diabetic retinopathy as non-Hispanic whites.

Source text - Portuguese CONTRATO DE FORNECIMENTO DE EQUIPAMENTO
São partes no presente contrato, de um lado, como contratante,
(i) COMPANHIA A, sociedade com sede na Cidade e Estado do Rio de Janeiro, na -----------, n°. ----, inscrita no CNPJ/MF sob o n°. ----------------, neste ato representado na forma de seu Estatuto Social por seus representantes abaixo assinados, doravante denominada "CLIENTE”;
e, de outro lado, como fornecedora,
(ii) COMPANHIA B, sociedade com sede na cidade de Belo Horizonte. Estado de Minas Gerais, na ---------------- n° -----, CEP: ------------, inscrita no CNPJ/MF sob o n°. -------------------, neste ato devidamente representada na forma de seus atos constitutivos por seus representantes abaixo assinados, doravante denominada "FORNECEDORA”,
ambas indistinta e individualmente denominadas "Parte" e, em conjunto, "Partes";
tem entre si acordado este Contrato de Fornecimento de Equipamento ("Contrato”), que se regerá pelas CLÁUSULAS e condições a seguir aduzidas:
CLÁUSULA PRIMEIRA- OBJETO
1.1. Este Contrato tem por objeto o desenvolvimento e o fornecimento de um sistema integrado de Operação Autônoma, para caminhão leve de transporte de minério e estéril ("PROJETO") pela FORNECEDORA, bem como a prestação de serviços de instala o, customização e acompanhamento, além do fornecimento de licenças de software ("SERVIÇOS"). Como resultado desse Projeto (ou "FASE 1"), 02 (dois) caminhões leves, novos e fornecidos pela CLIENTE, receberão o sistema para desempenho das atividades de transporte e manobras previstas nos KPIs e na Proposta Técnica 123456ABC (Anexo 1). Considerar-se-á "FORNECIMENTO” o conjunto de EOUIPAMENTOS e atividades e SERVIÇOS que são de responsabilidade da FORNECEDORA necessários à execução do objeto do Contrato, conforme descrito nos Anexos.
1.1.1 Não obstante o anteriormente exposto, as Partes reconhecem e afirmam expressamente que o presente instrumento contratual tem por objeto regular unicamente os termos e condições aplicáveis a Fase I do PROJETO.
1.1.2 As Partes reconhecem e afirmam expressamente que a implantação da Fase II do PROJETO fica condicionada ao cumprimento, pelas Partes, das metas ("KPI") estabelecidas no item 3.4 deste Contrato, momenta em que as Partes negociarão, em igualdade de condições, os termos, condições, valores e cronogramas aplicáveis à Fase II da implantação do PROJETO.
1.1.3 Cumpridas as metas a que se refere o item 3.4. do Contrato, a CLIENTE decidirá, em até 6 (seis) meses contados do cumprimento das KPIs ou até o mês de Dezembro subsequente ao cumprimento das KPIs , o que ocorrer por último, seguir ou não para a Fase II do PROJETO . Caso a CLIENTE decida não seguir para a fase II do PROJETO, por motivos não imputáveis a FORNECEDORA e ainda que os KPIs tenham sido atendidos, a CLIENTE abrira mão do aporte financeiro realizado bem como cederc3 a propriedade intelectual integralmente a FORNECEDORA.
1.1.4 Caso a FORNECEDORA decida não seguir para a fase II do Projeto por motives não imputáveis ao CLIENTE, a FORNECEDORA deverá ceder ao CLIENTE a propriedade intelectual, bem como efetuar o ressarcimento do aporte financeiro já realizado pelo CLIENTE.
1.1.5 Desde que justificadamente e por escrito, a CLIENTE poderá solicitar a prorrogação do prazo de início da implementação da Fase II do PROJETO junto a FORNECEDORA, que poderá acatar ou não o adiamento do prazo a seu exclusive critério.
1.2. Os documentos abaixo relacionados, devidamente rubricados pelas Partes, integram e constituem parte inseparável do presente Contrato, prevalecendo, em caso de contradição, as disposições deste instrumento em relação às dos Anexos, que obedecerão a seguinte ordem de prevalência:

CLÁUSULA SEGUNDA- VIGENCIA
2.1 Este Contrato terá v vigência até 03/07/2015, ou até o cumprimento de todas as obrigações decorrentes deste Contrato.
CLÁUSULA TERCEIRA - PREÇO E FORMA DE PAGAMENTO
3.1 Pelo FORNECIMENTO e demais obrigações da FORNECEDORA previstas neste Contrato , a CLIENTE pagara o preço fixo e irreajustável de R$ 4.999.419 ,05 (quatro milhões novecentos e noventa e nove mil quatrocentos e dezenove reais e cinco centavos), o qual inclui todos os custos diretos e indiretos relacionados ao FORNEC IMENTO ("PREÇO").
3.2 As Partes assumirão os tributes de suas respectivas responsabilidades legais, incorridos por força deste Contrato. A CLIENTE reterá e recolhera todos os tributes a que esteja obrigada pela legislação em vigor, o montante do tribute será recolhido em guia própria e posto a disposição da FORNECEDORA para ciência, ficando a CLIENTE desde já autorizada a descontar tais valores de eventuais quantias devidas à FORNECEDORA em função deste Contrato, independentemente do recolhimento do mesmo tribute ao município onde estiver localizada a sede da FORNECEDORA.
3.3 No caso de superveniência de dispositivo legal que crie, modifique ou extinga obrigações tributarias e, quando aplicáveis , trabalhistas e previdenciárias que diretamente incidam sobre o FORNECIMENTO, as Partes podendo negociar eventuais impactos sobre o PREÇO.

This contract is entered into by
(i) COMPANY A as contractor, a corporation headquartered at ------------ , no. --, in the City and State of Rio de Janeiro, registered in the CNPJ/MF under number ----------------, herein represented in the form of its Bylaws by its undersigned representatives, and referred to hereafter as “CLIENT”;
and
(ii) COMPANY B as provider, a corporation headquartered in the city of Belo Horizonte, State of Minas Gerais, at ------------ , no. --, ---, CEP: --------------, registered in the CNPJ/MF under no. -----------------, herein represented in the form of its articles of incorporation by its undersigned representatives, and referred to hereafter as “PROVIDER”,
both parties equally and independently referred to as “Party” and, together, “Parties”;
have negotiated this Equipment Supply Contract (“Contract”), which is governed by the following CLAUSES and conditions:
CLAUSE ONE – SCOPE
1.1 The scope of this Contract is the development and supply of an integrated operating system for ore and waste light haul trucks (“PROJECT”) by PROVIDER, as well as the rendering of installation, customization and follow-up services, in addition to the supply of software licenses (“SERVICES”). Pursuant to this Project (or “PHASE 1”), 02 (two) new light trucks, supplied by CLIENT, will receive the system to perform haulage activities and tasks laid out in the KPI’s and in Technical Proposal number 123456ABC (Schedule 1). SUPPLY shall be considered as the body of EQUIPMENT and activities and SERVICES which are the responsibility of PROVIDER, and necessary for the fulfillment of the purpose of the Contract, as described in the Schedules.
1.1.1 Notwithstanding the aforementioned, the Parties expressly acknowledge and affirm that this contract’s purpose is limited to the terms and conditions applicable to Phase I of the PROJECT.
1.1.2 The Parties expressly acknowledge and affirm that the implementation of Phase II of the PROJECT is dependent upon fulfillment, by the Parties, of the targets (KPIs) established in item 3.4 of this Contract, at which time the Parties will negotiate, with equal conditions, the terms, conditions, values and timelines applicable to Phase II of the implementation of the PROJECT.
1.1.3 Upon completion of the targets referred to in item 3.4 of the Contract, CLIENT will decide within 6 (six) months after the KPIs are fulfilled, or by the month of December following the fulfillment of the KPIs, whichever occurs last, whether or not to continue on to Phase II of the PROJECT. In the event that CLIENT decides not to continue to Phase II of the PROJECT for reasons not attributable to PROVIDER and even if the KPIs have been fulfilled, CLIENT will relinquish the financial contribution made, and furthermore submit the entirety of intellectual property to PROVIDER.
1.1.4 In the event that PROVIDER should decide to not continue to Phase II of the Project for reasons not attributable to CLIENT, PROVIDER will submit the intellectual property to CLIENT, and will furthermore reimburse the financial contribution made by CLIENT.
1.1.5 CLIENT may, with justification and in writing, request that the implementation start time for Phase II of the PROJECT be extended jointly with PROVIDER, who may approve or not approve such extension, at PROVIDER’s sole discretion.
1.2 The related documents below, duly initialed by both Parties, constitute an inseparable part of this contract, which, in the event of any contradiction, prevail over the stipulations of this agreement in relation to the Schedules, which will follow the below order of prevalence:

CLAUSE TWO – DURATION
2.1 This Contract will remain in effect until 03/JUL/2015, or until all obligations set forth in this Contract have been satisfied.
CLAUSE THREE – PRICING AND PAYMENT
3.1 For the SUPPLY and further obligations of PROVIDER set forth in this Contract, CLIENT will pay the fixed price of R$ 4,999,419.05 (four million nine hundred ninety-nine thousand four hundred nineteen Reals and five cents), which includes all costs directly and indirectly associated with the SUPPLY (“PRICING”).
3.2 The Parties will assume the taxes associated with their respective legal obligations, incurred under this Contract. CLIENT will retain and pay all taxes for which it is responsible under current law. The sum of the tax and will be paid and made available by CLIENT to PROVIDER for science, at which time CLIENT will be authorized to discount such amount from subsequent amounts owed to PROVIDER resulting from this Contract, notwithstanding payment of such tax to the local government in PROVIDER’s headquarter location.
3.3 Should a legal provision subsequently arise which would create, modify or nullify tributary and, when applicable, labor and workplace obligations which fall directly upon PROVIDER, the Parties may negotiate subsequent impacts on PRICING.
