In order to achieve better management and administration for the joint venture company established between Party A and Party B, both parties, after friendly discussions, enter into the agreement on the supply of special materials for the manufacture of D80 Maurer Expansion Joints. The stipulations of the above agreement are as follows:
Article (1) - General Rules
1. Party B shall be responsible to provide the special materials, mainly the edge beams and elastomeric strip seals for the manufacture of Maurer Expansion Joints type D80.
2. Party A shall effect the payment for the special materials in accordance with the prices stipulated in this agreement.
3. When using the special materials provided by Party B to manufacture the expansion joints Party A will have the right to make use of the trade mark of MAURER registered by Party B during the contract period and in the territory stipulated in the Licence Agreement. The requirements of the Licence Agreement concerning the use of the trademark “Maurer” have to be fulfilled.
Article (2) - Investment of Party B
1. The Cooperation Agreement of the parties shall have no effects on Party B. Therefore, all the investments shall be made by Party A.
2. Party B will obtain no benefit out of the operation of the cooperation agreement and bear also no risk. Any liability for the cooperation and its business activities is taken over by Party A.
Article (3) - Supply Prices
1. The prices of the special materials for the manufacture of D80 joints provided by Party B should be competitive to allow Party A and the joint venture company to promote and distribute the agreement's products successfully.
2. The prices of the special materials offered by Party B include the patent technology transfer fee, the royalty for the trade mark and other intellectual property rights and all overheads of Party B.
3. The initial purchase price of the special materials will be € 95.- per linear meter of D80 joints. The price comprises the 2 edge beams (Order No. 7.0001) and the elastomeric strip seal (Order No. 7.0130). Break down of prices:
Price of edge beam 7.0001: € 40.-/metre edge beam (2 edge beams per metre).
Price of strip seal 7.0013: € 15.-/metre.
4. Freight costs will have to be added to the purchase price.
5. All prices are subject to alteration.
Article (4) - Payment
Party A shall, through the bank of the joint venture company, open an irrevocable letter of credit in favour of Party B for each individual purchase contract. The bank needs to be approved of by Party B.
Article (5) - Time of Delivery
After the receipt of the L/C opened by Party A, Party B shall guarantee to supply the quantity of the special materials for the manufacture of D80 joints as required by Party A. The actual quantity of the special materials purchased by Party A for the individual contract will be stipulated in the L/C. The shipment must take place within 1 (one) month from the date of opening the L/C. Party A will inform Party B at least 4 (four) months in advance about the anticipated demand for the special materials to be shipped.
Article (6) - Technical Exchange
1. Party B shall upon request and cost of Party A send a specialist to Party A for technical instruction at the time when Maurer joints will be manufactured.
2. Party A shall at its costs send 2 technicians to the workshop of Party B for technical training after the establishment of the joint venture company.
Article (7) - Validity
This agreement shall be valid for a period of 10 years. If the Cooperation Agreement concluded by the Parties is terminated, this agreement becomes automatically void.
Article (8) - Others
1. All matters which are not clearly stipulated in this agreement shall be solved in the spirit of consultation and the desire of both parties to come to an agreement which is for the benefit of both parties.
2. This Special Materials Supply Agreement is an integral part of the Licence Agreement between the parties. If any provision of this agreement is contradictory to the provisions of the Licence Agreement the relevant provisions of the Licence Agreement prevail.
3. This agreement is made out in 2 copies with the same version. Each Party holds 1 copy and both copies have the same force and effect.

A fim de alcançar uma melhor gestão e administração para a empresa de joint venture estabelecida entre as parte A e parte B, ambas as partes, depois de discussões amigáveis, celebrarem o contrato relativo ao fornecimento de materiais especiais para a fabricação de juntas de expansão D80 Maurer. As disposições do acordo acima são as seguintes:
O artigo (1) - Regras Gerais
1. A Parte B será responsável por fornecer os materiais especiais, principalmente borda das vigas e juntas de tiras elastomérica para a fabricação das juntas de expansão Maurer tipo D80
2. A Parte A deve efetuar o pagamento dos materiais especiais, de acordo com os preços estipulados no presente acordo.
3. Ao utilizar os materiais especiais fornecidos pela parte B para a fabricação das juntas de expansão, a Parte A terá o direito de fazer uso da marca registrada MAURER da Parte B durante o período do contrato e no território estipulado no Acordo de Licença. Os requisitos do acordo de licença relativa ao uso da marca "Maurer" têm de ser cumpridas.
O artigo (2) - O investimento da Parte B
1. O acordo de cooperação entre as partes não terá custos da Parte B. Portanto, todos os investimentos deverão ser feitos pela Parte A.
2. A Parte B não obterá nenhum lucro das atividades do negócio do acordo de cooperação e não terá também nenhum risco. Qualquer responsabilidade da cooperação e das suas atividades de negócio será da parte A.
O artigo (3) - Preços de Fornecimento
1. Os preços dos materiais especiais para a fabricação das juntas D80 fornecidos pela Parte B deverão ser competitivos para permitirem que a Parte A e a empresa de joint venture promovam e distribuam os produtos contratados com êxito.
2. Os preços dos materiais especiais oferecidos pela Parte B incluem a taxa de transferência de tecnologia da patente, o royalty pela a marca registrada e outros direitos de propriedade intelectual e todas as despesas da Parte B.
3. O preço de compra inicial dos materiais especiais será de € 95 (95 euro). - por metro linear de juntas D80. O preço inclui 2 vigas de borda (Pedido n. º 7.0001) e a junta em tiras elastômericas (Pedido n. º 7.0130). Decomposição de preços:
Preço da viga de borda 7.0001: € 40 (40 euro). -/metro de viga de borda (2 vigas de borda por metro).
Preço da junta em tiras 7.0013: € 15 (15 euro). -/metro.
4. As despesas de transporte deverão ser adicionadas ao preço de compra.
5. Todos os preços estão sujeitos a alteração.
O artigo (4) - Pagamento
A Parte A deve, através do banco da empresa de joint venture, abrir uma carta de crédito irrevogável a favor da Parte B para cada contrato de compra individual. O banco precisa ser aprovado pela Parte B.
O artigo (5) - Tempo de Entrega
Após o recebimento da L/C aberta pela Parte A, a Parte B garantirá o fornecimento da quantidade de materiais especiais para a fabricação de juntas D80 conforme exigido pela Parte A. A quantidade real de materiais especiais comprados pela Parte A para o contrato individual será estipulado na L/C. O envio deve ocorrer no prazo de 1 (um) mês a contar da data de abertura da L/C. A Parte A informará a Parte B, com o mínimo de 4 (quatro) meses de antecedência sobre o previsão de fornecimento para os materiais especiais a serem enviados.
O artigo (6) - Intercâmbio Técnico
1. A Parte B enviará a pedido e custo da Parte A um especialista para a Parte A para a instrução técnica no momento em que as juntas Maurer, forem fabricadas.
2. A Parte A, por sua conta, deverá enviar 2 técnicos para o workshop da Parte B para treinamento técnico, após a criação da joint venture.
O artigo (7) - Validade
Este acordo será válido por um período de 10 anos. Se o Acordo de Cooperação celebrado entre as partes seja encerrado, este contrato se tornará nulo automaticamente.
O artigo (8) - Outros
1. Todas as questões que não estão claramente definidos no presente acordo devem ser resolvidos no espírito da consulta e da vontade de ambas as partes para chegar a um acordo que seja para o benefício de ambas as partes.
2. Este acordo de fornecimento de Materiais Especiais é uma parte integrante do acordo de licença entre as partes. Se qualquer disposição deste acordo estiver em contradição com as disposições do Acordo de Licença, as disposições pertinentes do Acordo de Licença prevalecerão.
3. Este acordo é feito em 2 exemplares com a mesma versão. Cada parte possui 1 exemplar e ambas as cópias têm a mesma força e efeito.
