English to Russian Law/Patents Law: Contract(s)

If at any time during the performance of this CONTRACT (i) a PARTY becomes aware that the other PARTY is subject to any SANCTIONS which would prohibit or render unlawful any performance or payment contemplated under this CONTRACT or (ii) any payment made or to be made as contemplated by the transactions described in this CONTRACT cannot be made or received as intended due to or because of any SANCTIONS, including because monies or accounts have been frozen as a result of any such SANCTIONS, none of the PARTIES shall be required to do anything that would cause it to breach any of the SANCTIONS (“Affected Party”). In such case, Affected Party, in good faith discussions with the other PARTY, shall use reasonable endeavours to mitigate the risk of such a breach (“Mitigation”) in order to continue its performance affected by the relevant SANCTIONS, by way of, including but not limited to: changing the currency of the relevant payment; changing bank accounts or a paying, receiving or correspondent bank or a payment intermediary through which payments are made; obtaining any SANCTIONS authorisation, permit or license; amending this Contract, always provided that the PARTIES shall not be required to implement any Mitigation to the extent it may be illegal under the relevant SANCTIONS (“Illegality”).
