Hallo liebe Kolleginnen und Kollegen,
der Ausdruck wurde hier schon öfter gefragt und beantwortet, aber ich tue mich immer noch schwer mit einer praxisnahen Formulierung.
Es geht um eine Satzungsänderung in einem irischen Investmentfonds. Da wird die Form der Übertragung von Anteilen neu geregelt:

Erst wird erläutert:
It is proposed that Article 34 of the Articles of Association be amended to clarify that a transfer of shares may be effected by transfer in writing in electronic form in accordance with the requirements of the Electronic Commerce Act 2000 and that accordingly it is not necessary that an instrument of transfer be executed ***under hand or seal*** to effect the transfer of title to securities.

Die Übertragung bedarf also keiner Unterschrift und keines Stempels/Siegels.

Dann kommt die Beschlussvorlage:

Art. 34: All transfers of shares shall be effected by transfer in writing in any usual or common form or in any other form approved by the Directors (including in electronic form whether via an electronic communication or otherwise in accordance with the requirements of the Electronic Commerce Act 2000 as may be amended, supplemented, consolidated or replaced from time to time) ***but need not be under seal***.

Die Übertragung bedarf also keines Stempels/Siegels (aber von keiner Unterschrift ist keine Rede mehr; vielleicht bedarf es ja einer Signatur statt Unterschrift).

Wie würdet ihr denn jetzt dieses "under seal" hier übersetzen: besiegelt, bestempelt, unter Verschluss, mit Siegeln versehen, beurkundet ... das hört sich doch alles so unrealistisch an. Normalerweise besteht die "elektronische Form" wohl in einer E-Mail oder im Anklicken oder Antippen einer Schaltfläche.

Explanation:
A requirement for a seal is that it should be signed.
A seal was always required on documents, this has been accepted by people till today and therefore also new electronic documents require inclusion of the word “SEAL” on the signature line, but a signature is enough thought.
